I .INTRODUCTION & LEGAL DISCLAIMER

By downloading, accessing, or using the HomeAxis mobile application, website, client or co-broker portals, AI systems, or any related services (collectively, the “App” or “Platform”), you agree to be bound by this integrated Terms and Conditions and End User License Agreement (the “Agreement”). If you do not agree, do not use the App.

II.DEFINITIONS

“App” or “Platform”: HomeAxis mobile applications, websites, portals, AI systems, integrations, dashboards, SMS features, and related services.
“Company”: Diamond Hill Ventures LLC.
“User”: Any individual or entity using HomeAxis.
“Content”: All workflows, tasks, templates, automations, data, documents, and materials within HomeAxis.
“AI Services”: Includes AI parsing, AI assistant, auto-extraction, automated suggestions, document analysis, and any future AI capabilities.

III.ACCEPTANCE & MODIFICATIONS

Your continued use constitutes acceptance of updates. HomeAxis may modify features, pricing, AI capabilities, or subscription structures without notice. This Agreement supersedes Apple’s Standard EULA where permitted.

IV.LICENSE GRANT

HomeAxis grants you a limited, non-exclusive, non-transferable, revocable license to use the App for lawful real estate business purposes.

V.RESTRICTIONS

You may not modify, distribute, reverse engineer, clone, benchmark, or use the App for competitive purposes. You may not reproduce workflows, wizard logic, AI features, or document structures.

VI.ACCOUNT SECURITY

Users are responsible for maintaining account confidentiality and all activity under their credentials.

VII.APP SERVICES & USER RESPONSIBILITY

HomeAxis provides tools for organization, workflow automation, AI-assisted document parsing, and communication. You are solely responsible for verifying accuracy of all data, deadlines, documents, AI-extracted fields, and client communication.

VIII.AI SERVICES DISCLAIMER

AI output may be inaccurate, incomplete, or require correction. AI may hallucinate, misread documents, misinterpret data, or produce errors. You must verify all AI-generated information. HomeAxis is not liable for decisions made based on AI outputs.

IX.DOCUMENT UPLOADS & DATA EXTRACTION DISCLAIMER

Uploaded documents may not be stored, backed up, or retrievable. Extraction may misread, mislabel, or omit fields. You assume full responsibility for verifying extracted content.

X.CLIENT & CO-BROKER PORTAL

Client-facing and co-broker-facing portals are for convenience only. HomeAxis is not responsible for information shared through portals, authentication errors, missed messages, incorrect data, or third-party misuse.

XI.SMS/TCPA DISCLAIMER

Users authorize HomeAxis to send SMS on their behalf. You confirm you have obtained lawful consent for all recipients. You assume ALL liability for TCPA, CAN-SPAM, and state messaging violations. HomeAxis is not responsible for opt-outs, compliance, or consent retention.

XII.INTEGRATIONS & THIRD-PARTY SERVICES

HomeAxis integrates with external systems (e.g., Onesignal, Google, Firebase, Apple, Android, RevenueCat, Stripe, Docusign, Dotloop). HomeAxis is not responsible for outages, delays, errors, data loss, or failures caused by third-party services.

XIII.DEADLINE & REMINDER DISCLAIMER

HomeAxis does NOT guarantee delivery, timing, or accuracy of reminders or wizard playbook workflows. Users are solely responsible for legal and contractual deadlines.

XIV.PAYMENTS & REFUNDS

Subscriptions auto-renew unless canceled. Cancellations are effective at the start of the next billing cycle. No refunds will be issued for the current or any previous subscription months. Fees are non-refundable unless required by law. Payment processors may impose additional terms.

XV.TERMINATION

HomeAxis may suspend or terminate access for violations. Upon termination, all licenses are revoked and the App must be deleted.

XVI.INTELLECTUAL PROPERTY & NON-CIRCUMVENTION

All workflows, templates, AI logic, playbook and wizard structure, automation design, code, processes, and system architecture are protected trade secrets. Users may not build, assist, or participate in development of competing platforms based on insights gained from HomeAxis.

XVII.PRIVACY & DATA COLLECTION

Use of HomeAxis is governed by the Privacy Policy. Data collected may include account information, transaction data, analytics, AI interactions, document metadata, and communication logs.

XVIII.NO FIDUCIARY ROLE

HomeAxis is NOT a transaction coordinator, brokerage, assistant, or fiduciary. Users maintain all professional and legal obligations.

XIX.WARRANTY DISCLAIMER

HomeAxis is provided AS IS and AS AVAILABLE. No warranties, express or implied.

XX.LIMITATION OF LIABILITY

Liability is capped to the amount paid in the preceding 12 months. No liability for lost deals, missed deadlines, client disputes, data loss, downtime, or reliance on AI or reminders.

XXI.INDEMNIFICATION

You agree to indemnify HomeAxis for claims arising from misuse, messaging, AI reliance, data uploads, portal sharing, or legal violations.

XXII.GOVERNING LAW & ARBITRATION

Rhode Island law governs this Agreement. Disputes resolved through binding AAA arbitration. No class actions.

XXIII.SEVERABILITY

Invalid provisions do not void the remainder.

XXIV.ENTIRE AGREEMENT

This Agreement supersedes all prior terms.
